Vodacom’s Acquisition of Maziv: A Step Forward for South Africa’s Digital Landscape

In what could be a transformative move for South Africa’s digital connectivity landscape, Vodacom is one step closer to finalizing its acquisition of a co-controlling stake in Maziv, a prominent fiber operator. The competition appeal court delivered a favorable verdict, allowing the deal to move forward after more than three years of deliberation.

Vodacom has been in talks to acquire a 30% stake in Maziv, which includes ownership of Vumatel, the nation’s leading home fiber broadband network operator, and Dark Fibre Africa, a key player in business and wholesale fiber services. This acquisition is crucial for Vodacom as it seeks to enhance its fiber infrastructure and improve connectivity across South Africa—a goal championed by Vodacom Group CEO Shameel Joosub.

While the deal initially proposed a 40% stake, it now includes a revised option to increase Vodacom’s share to 34.95%, a concession made following discussions with the Competition Commission. This adjustment reflects Vodacom’s commitment to promoting fair competition and aligning with regulatory expectations.

In a statement following the court’s ruling, Joosub expressed optimism about the deal, stating, “We are delighted with the appeal court’s decision, which paves the way for us to bring the benefits of enhanced fiber infrastructure to more South Africans.” He emphasized that this acquisition is not just a business move but a strategically vital step towards enhancing connectivity, driving digital inclusion, and bolstering South Africa’s burgeoning digital economy.

Looking ahead, the only regulatory hurdle remaining is obtaining unconditional approval from the Independent Communications Authority of South Africa (Icasa). Thankfully, Icasa had conditionally approved the transaction in November 2022, indicating a favorable view towards the merger’s potential benefits.
